PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE INCLUDE LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES, AND REQUIREMENTS TO COMPLY WITH APPLICABLE LAWS.
By downloading, accessing, or using the Max AI application or website (the “Service”), you agree to be bound by these Terms and Conditions (“Terms”). These Terms form a binding agreement between you (“User”, “you”, or “your”) and Aha Moments LLC (“Aha Moments”, “Company”, “we”, “us”, or “our”). If you do not agree with these Terms, you must not use the Service.
1. Contractual Relationship
These Terms govern your access and use of all services, applications, websites, content, and features provided by Aha Moments LLC under the Max AI brand (collectively, the “Service”).
Your access to and use of the Service constitutes your acceptance of these Terms and our Privacy Policy, which is incorporated herein by reference.
We may update these Terms from time to time. Any changes will be effective upon posting the revised Terms within the Service. Continued use of the Service after such changes constitutes your consent to the updated Terms.
2. The Service
Max AI is a technology platform that allows users to log, analyze, and track their workouts using artificial intelligence, photo recognition, and user-generated data.
The Service may provide information, analytics, or recommendations related to your workouts, but Max AI does not provide medical, health, or fitness advice. You use the Service entirely at your own risk. The Service is intended for personal, non-commercial use by adults aged 18 and older.
Aha Moments LLC does not provide personal training, medical consultation, or diagnostic services. You are solely responsible for your own health decisions, and you should consult a qualified professional before starting or modifying any exercise program.
3. License
Subject to your compliance with these Terms, Aha Moments LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, access, and use the Service on your personal device for personal, non-commercial use only.
You may not:
(i) Copy, modify, or distribute the Service or any related content;
(ii) Reverse-engineer, decompile, or disassemble any portion of the Service;
(iii) Rent, lease, sell, sublicense, or otherwise exploit the Service commercially;
(iv) Remove any proprietary notices or marks from the Service; or
(v) Use the Service for any unlawful purpose or in violation of these Terms.
All rights not expressly granted to you under these Terms remain the exclusive property of Aha Moments LLC and its licensors.
4. User Requirements and Conduct
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.
You agree not to use the Service in any manner that:
Violates any applicable laws or regulations;
Infringes on any third-party rights;
Interferes with or disrupts the integrity or performance of the Service; or
Attempts to gain unauthorized access to any portion of the Service or its systems.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
5. User Content
You may submit data, photos, notes, or other materials (“User Content”) through the Service. You retain ownership of your User Content but grant Aha Moments LLC a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, distribute, display, and modify such content as necessary to provide and improve the Service.
You represent and warrant that your User Content does not infringe on the rights of others and complies with all applicable laws. Aha Moments reserves the right to remove or restrict any User Content at its sole discretion.
6. Payments and Subscriptions
Access to certain features of the Service may require payment of a subscription fee (“Subscription”). All payments are processed through the Apple App Store, Google Play, or other authorized platforms.
By purchasing a Subscription, you agree to:
Pay the applicable fees in accordance with the platform’s payment terms;
Allow recurring charges until you cancel your Subscription; and
Understand that, except as required by law, all payments are non-refundable once processed.
You can manage or cancel your Subscription through your respective app store account. Cancellation will take effect at the end of your current billing cycle.
7. Disclaimers
Aha Moments LLC does not provide medical advice.
All information and content within the Service are provided for informational purposes only and should not be interpreted as medical or professional advice. You should consult your physician or a certified fitness professional before engaging in any exercise or fitness routine.
You acknowledge that using the Service and engaging in physical exercise carries inherent risks, including injury or death. You voluntarily assume all risks associated with your use of the Service.
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, either express or implied. Aha Moments LLC makes no guarantees regarding the accuracy, reliability, availability, or suitability of the Service or any content contained therein.
8. Limitation of Liability
To the maximum extent permitted by law, Aha Moments LLC and its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from or related to your use of the Service.
Our total aggregate liability for any claim arising under these Terms shall not exceed the amount paid by you to Aha Moments LLC for use of the Service in the twelve (12) months preceding the event giving rise to the claim.
You agree that you use the Service at your own risk and that Aha Moments LLC is not responsible for any injuries, losses, or damages that may occur through your use of or reliance on the Service.
9. Termination
We reserve the right to suspend or terminate your access to the Service at any time, without notice or liability, for conduct that we determine violates these Terms or is otherwise harmful to the Service or other users.
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership, disclaimers, limitation of liability, and dispute resolution.
10. Dispute Resolution and Arbitration
You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration in King County, Washington, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
You and Aha Moments LLC waive the right to a jury trial or class action. Each party will bear its own costs unless otherwise determined by the arbitrator. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Prior to arbitration, both parties agree to make a good-faith effort to resolve any dispute informally by contacting the other party directly.
11. Governing Law
These Terms and any dispute arising from or related to them shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.
12. Changes to the Terms
Aha Moments LLC reserves the right to modify or replace these Terms at any time. If a material change occurs, we will make reasonable efforts to notify you (such as via email or in-app notice). Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes.
13. Severability
If any provision of these Terms is found invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
Summary
You use Max AI at your own risk. It’s a data-driven tracking tool, not a medical or fitness advisory service. You agree to the terms above by using the app.
